If you could just transfer from anyphone phone to the other, people would be selling their app in the used market to another person. And it wouldnt be long before someone figured out how to just make multiple copies that everyone would use for free.
If you were able to transfer all your existing/installed apps from your old phone to your new phone when you upgraded, it probable would have kept working or you could put in the same lic info to activate it since it is the same already installed app id.
